1. Acceptance of Terms
These Terms & Conditions ("Terms") form a binding agreement between you and Verdanter UK ("Verdanter", "we", "us", "our"), the operator of the Verdanter website and services (the "Service"). By accessing or using the Service you agree to be bound by these Terms. If you do not agree, please do not use the Service.
2. Description of Service
Verdanter is a platform that helps users discover parks, gardens, woodlands and nature reserves around the world. We provide search functionality, maps, shortlists, and related features. Some features require a paid subscription ("Verdanter Pro").
3. User Accounts
To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use of your account.
4. Subscriptions, Payments & Merchant of Record
Our order process is conducted by our online reseller Paddle.com Market Limited ("Paddle"). Paddle is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, currency, tax, cancellation and refund mechanics are governed by Paddle's Buyer Terms in addition to these Terms.
Verdanter Pro subscriptions are billed on a recurring basis (monthly or annually) and renew automatically until cancelled. By subscribing, you authorise Paddle to charge your chosen payment method for each billing cycle. You may cancel at any time via your account settings or via paddle.net; cancellations take effect at the end of the current billing period and you retain access until then.
Refunds are governed by our Refund Policy. All fees are exclusive of taxes unless stated otherwise. We reserve the right to change subscription pricing with reasonable notice.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Infringe on the rights of others
- Transmit harmful code, malware, or viruses
- Attempt to gain unauthorised access to our systems
- Scrape or harvest data in an automated manner without permission
- Impersonate another person or misrepresent your affiliation
6. Intellectual Property
All content, software, and materials provided through the Service are owned by or licensed to Verdanter and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written permission.
7. Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis. We make no warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee the accuracy, completeness, or reliability of any content or search results.
8. Limitation of Liability
To the maximum extent permitted by law, Verdanter and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service.
9. Termination
We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease.
10. Changes to Terms
We may modify these Terms & Conditions at any time. Material changes will be communicated by posting the updated terms on this page with a revised date. Your continued use of the Service after changes constitutes acceptance of the new terms.
11. Governing Law
These terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
